DISPUTE RESOLUTION, ARBITRATION AND JURISDICTION

For any dispute with DeltaBank you agree to first contact DeltaBank at 212-315 3131 or your account officer with a detailed statement of all of the facts and issues in dispute (the “Dispute”). The parties shall attempt to resolve the Dispute with DeltaBank informally and/or by mediation. In the unlikely event that DeltaBank has not been able to resolve a Dispute it has with you after attempting to do so informally for a period of not less than ninety (90) days, we each agree to resolve any Dispute, claim, or controversy (excluding any DeltaBank claims for injunctive or other equitable relief) arising out of or in connection with or relating to these Terms of Use, or the breach or alleged breach thereof, or any transaction relating to the Website by binding arbitration by the American Arbitration Association (“AAA”) under the Commercial Arbitration Rules then in effect for the AAA, except as provided herein. The arbitration hearing will be conducted by teleconference or videoconference, rather than in-person appearance, unless the arbitrator determines, upon appropriate motion, that an in-person hearing is warranted, in which case, the hearing will be held in New York, NY, unless you and DeltaBank agree otherwise. Each party will be responsible for paying any AAA filing, administrative and arbitrator fees in accordance with AAA rules. The award rendered by the arbitrator shall include the costs of arbitration, reasonable attorneys’ fees and reasonable costs for expert and other witnesses. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The arbitrator shall have no authority to alter or amend any of these Terms.

Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, or violation of that party’s data security, intellectual property rights, or other proprietary rights. All claims must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding, and, unless we agree otherwise, the arbitrator may not consolidate more than one person’s claims. You agree that, by entering into this agreement, you and DeltaBank are each waiving the right to a trial by jury or to participate in a class action.

These Terms, the relationship between you and DeltaBank and any arbitration shall be governed by the laws of the State of New York, without regard to its conflict of law provisions. You and DeltaBank agree to submit to the personal and exclusive jurisdiction of the courts located within New York County, New York.

WAIVER AND SEVERABILITY

No waiver by DeltaBank of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of DeltaBank to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

ENTIRE AGREEMENT

The Terms and our Privacy Policy constitute the sole and entire agreement between you and DeltaBank regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
